Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of theformulator.ai (the “Platform”), operated by Aurentis Science LLP (“we”, “us”, “our”). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

The Platform is a business-to-business service designed for cosmetic industry professionals. By registering, you represent that you are at least 18 years of age and are acting in a professional capacity.

2. Account Registration

To use the Platform, you must create an account by providing accurate and complete registration information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@theformulator.ai if you become aware of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that provide false registration information, engage in abusive or fraudulent behavior, or violate these Terms.

3. The Service

theformulator.ai provides AI-assisted cosmetic formulation intelligence, including:

• Formulation report generation based on product briefs you submit
• Ingredient analysis drawing on peer-reviewed literature, regulatory databases, and technical data sources
• Regulatory compliance guidance across multiple markets
• Product deformulation via INCI list analysis or label OCR
• Formulation variant refinement

The Platform uses artificial intelligence, including large language models, to analyse your inputs and generate outputs. AI-generated content is informational and advisory in nature. It is not a substitute for independent laboratory validation, stability testing, challenge testing, or regulatory compliance verification by qualified professionals.

4. Important Disclaimers About Formulation Outputs

Formulations require independent validation. All formulation outputs, ingredient recommendations, concentration ranges, and regulatory guidance generated by the Platform are based on AI analysis of published data sources. They are starting points for professional formulators, not manufacturing-ready specifications.

You are responsible for:

• Independently verifying the safety, stability, and efficacy of any formulation before production
• Conducting appropriate laboratory testing including stability, compatibility, preservative efficacy (challenge testing), and safety assessments
• Ensuring compliance with all applicable regulations in your target markets
• Confirming that ingredient concentrations are appropriate for your specific formulation context
• Obtaining any required regulatory approvals or notifications before placing products on the market

We do not guarantee that any formulation output will be safe, effective, stable, compliant with any specific regulation, or suitable for any particular purpose. Regulatory information provided by the Platform reflects our data sources at the time of generation and may not reflect the most recent regulatory changes.

5. Intellectual Property

Your content:You retain all rights to the briefs, ingredient lists, formulation data, and other content you submit to the Platform (“Your Content”). By submitting content, you grant us a limited licence to process it solely for the purpose of providing the service to you.

Platform outputs:Formulation reports, analysis, and other outputs generated by the Platform in response to your briefs (“Outputs”) are provided for your use. You may use Outputs in your professional work, including for internal research, product development, and regulatory submissions. You are responsible for independently validating any Output before commercial use.

Our content: The Platform itself, including its design, software, data compilations, scoring methodologies, user interface, branding, and documentation, is owned by Aurentis Science LLP and protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Platform.

Data sources: The Platform draws on publicly available scientific literature, regulatory databases, and other data sources. We do not claim ownership of underlying scientific data. Our proprietary value lies in the curation, structuring, analysis, and synthesis of these sources.

6. Credits and Payment

Credit system: Access to formulation generation features requires credits. Different report levels and features consume different amounts of credits as displayed in the Platform.

Free trial: New accounts receive a limited number of trial credits. Trial credits expire at the end of the trial period.

Purchased credits: Credits included in your subscription plan reset at the beginning of each billing cycle. Unused monthly credits do not carry over. Separately purchased top-up credit packs do not expire.

Refunds: Credits consumed for formulation generation are non-refundable, as the computational resources are expended at the time of generation. If you experience a technical failure that consumes credits without delivering a usable output, contact support@theformulator.ai and we will review your case and restore credits where appropriate.

Pricing:Prices are displayed in your local currency based on your location. We reserve the right to change pricing with 30 days' notice to existing subscribers. Price changes do not affect the current billing period.

7. Acceptable Use

You agree NOT to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorised access to other users' accounts or data
• Submit content that is malicious, harmful, or designed to exploit or attack the AI systems
• Use automated tools, bots, or scripts to access the Platform beyond normal API usage
• Resell, sublicence, or redistribute Platform outputs as a competing service
• Misrepresent AI-generated formulation outputs as independently validated formulations without performing the required testing
• Remove or obscure any disclaimers, attributions, or notices included in Platform outputs

8. Platform Availability

We aim to maintain high availability of the Platform but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our reasonable control.

We will make reasonable efforts to provide advance notice of planned maintenance. We are not liable for any loss or damage arising from Platform unavailability.

9. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, available at theformulator.ai/privacy. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.

You acknowledge that your formulation briefs and related data are processed by third-party AI providers located in the United States, as described in our Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to: loss of profits, loss of data, business interruption, product liability claims, regulatory penalties, or costs arising from formulations based on Platform outputs.

Our total liability to you for any claims arising from or related to these Terms or your use of the Platform shall not exceed the total amount you have paid to us in the twelve (12) months preceding the claim.

You acknowledge that formulation outputs are AI-generated and require independent professional validation. We are not responsible for any consequences of using Platform outputs without appropriate testing and verification.

These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or gross negligence.

11. Indemnification

You agree to indemnify and hold harmless Aurentis Science LLP from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your use of Platform outputs without independent validation; your violation of these Terms; your violation of any applicable law or regulation; or any claim by a third party related to products you develop using Platform outputs.

12. Beta Features

Certain features of the Platform may be designated as beta, preview, or experimental. These features are provided “as is” and may be modified, suspended, or discontinued without notice. Beta features may have reduced reliability or accuracy compared to generally available features.

13. Modifications to These Terms

We may update these Terms from time to time. If we make material changes, we will notify registered users by email at least 14 days before the changes take effect. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you may close your account.

14. Termination

By you: You may close your account at any time by contacting support@theformulator.ai. Account closure will result in deletion of your account data in accordance with our Privacy Policy.

By us: We may suspend or terminate your account if you violate these Terms, engage in abusive behaviour, or if required by law. Where possible, we will provide reasonable notice and an explanation.

Upon termination, your right to use the Platform ceases immediately. Sections 4 (Disclaimers), 5 (Intellectual Property), 10 (Limitation of Liability), and 11 (Indemnification) survive termination.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

If you are a consumer in the European Union, nothing in this section affects your rights under mandatory consumer protection laws of your country of residence.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Aurentis Science LLP regarding your use of the Platform, and supersede any prior agreements or communications.
